The agreement between you and AI Next Dev for the use of AI Ads Studio

These Terms are between you and AI Next Dev ("we", "us", "our"), operator of AI Ads Studio at ads.ainextdev.com.

1. Agreement to these Terms

By creating an account or using AI Ads Studio (the "Service"), you agree to be bound by these Terms of Service and by our Privacy Policy. If you do not agree, do not use the Service. If you are agreeing on behalf of a company, you confirm you have the authority to bind that company.

2. Description of the Service

AI Ads Studio is a software-as-a-service platform that helps businesses and marketing agencies plan, create, manage, and optimize Google Ads campaigns using artificial intelligence. The Service connects to your Google Ads account through the official Google Ads API and provides campaign creation, ad copy generation, performance reporting, and optimization recommendations.

AI Ads Studio is an independent product of AI Next Dev. It is not affiliated with, endorsed by, or sponsored by Google LLC. Google Ads is a trademark of Google LLC.

3. Eligibility

By using the Service you represent that:

  • You are at least 18 years old.
  • You have the legal authority to enter into this agreement.
  • You own, or are authorized to manage, every Google Ads account you connect.
  • You will comply with all laws that apply to your advertising.

4. Accounts and security

4.1 Your responsibilities

  • Provide accurate and current registration information.
  • Keep your password confidential and do not share your account.
  • Notify us immediately at info@ainextdev.com if you suspect unauthorized access.

You are responsible for all activity that occurs under your account.

4.2 Suspension

We may suspend or terminate your account if you breach these Terms, use the Service unlawfully, or fail to pay subscription fees when due.

5. Google Ads integration

5.1 Authorization

You connect your Google Ads account through Google's standard OAuth consent screen. By authorizing the Service, you permit us to read your Google Ads data and to create, modify, and pause campaigns on your behalf, as described in our Privacy Policy. You may revoke this authorization at any time from your account settings or from Google Account permissions.

5.2 You approve before anything goes live

New campaigns are created in PAUSED status. The Service does not activate a campaign, and no advertising spend is incurred, until you review the campaign and activate it yourself. You remain the decision-maker for every change to your account.

5.3 Compliance with Google policies

You are solely responsible for ensuring your campaigns, landing pages, and advertised products comply with the Google Ads policies and all applicable laws. We may refuse to create or publish content that we reasonably believe breaches those policies.

5.4 Media spend

Your Google Ads media spend is billed by Google directly to the payment method on your Google Ads account. It is separate from, and not included in, your AI Ads Studio subscription fee.

6. Subscriptions and billing

  • Subscriptions renew automatically for the plan period you selected until you cancel.
  • Monthly subscriptions are not refundable for partial months.
  • Annual subscriptions may be refunded within 30 days of purchase.
  • All fees are exclusive of applicable taxes, which you are responsible for.
  • We may change our prices with at least 30 days' notice before the change affects your next renewal.
  • If payment fails, we may suspend access until the balance is settled.

You can cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period.

7. Acceptable use

You agree not to:

  • Violate Google Ads policies or any applicable advertising law.
  • Create misleading, deceptive, or unlawful campaigns or landing pages.
  • Advertise products or services you are not legally permitted to sell.
  • Attempt to gain unauthorized access to the Service, other accounts, or our infrastructure.
  • Reverse engineer, scrape, or resell the Service without our written permission.
  • Upload malware or interfere with the operation of the Service for others.
  • Use the Service to send spam or to infringe anyone's intellectual property.

8. AI-generated content

The Service uses artificial intelligence to generate campaign strategies, ad copy, and images. AI output can be inaccurate, incomplete, or unsuitable for your context. You are responsible for reviewing all generated content before it is published, and for ensuring it is accurate, legal, and appropriate for your business. We make no warranty about the accuracy or suitability of AI-generated output.

9. Intellectual property

  • Our property — the Service, its software, design, and branding remain the property of AI Next Dev.
  • Your content — your business data, campaigns, and materials remain yours. You grant us a limited licence to process them solely to provide the Service.
  • Generated content — subject to your payment of fees, you own the ad copy and creative the Service generates for your campaigns.

10. No performance guarantee

We do not guarantee any particular campaign performance, ranking, conversion volume, or return on investment. Advertising results depend on many factors outside our control, including your market, budget, competition, landing pages, and Google's own systems. You are responsible for monitoring your campaigns and your spend.

11. Service availability

We aim to keep the Service available continuously, but we do not guarantee uninterrupted access. The Service may be unavailable during maintenance, or because of failures in third-party services we depend on, including the Google Ads API. We are not liable for losses caused by such interruptions.

12. Disclaimers and limitation of liability

The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, or lost advertising spend. Our total aggregate liability arising out of or relating to the Service is limited to the subscription fees you paid us in the 12 months preceding the claim.

Nothing in these Terms excludes liability that cannot be excluded under applicable law.

13. Indemnity

You agree to indemnify and hold AI Next Dev harmless from any claim, loss, or expense arising from your use of the Service, your advertising content, or your breach of these Terms or of Google Ads policies.

14. Termination

You may cancel your subscription at any time. We may suspend or terminate your access if you breach these Terms or fail to pay fees. On termination, your right to use the Service ends immediately, we delete your data as described in the Privacy Policy, and any unpaid amounts remain due. Campaigns already created in your Google Ads account remain yours and are unaffected.

15. Changes to these Terms

We may update these Terms from time to time. We will post the revised version on this page with a new "Last updated" date, and for material changes we will give you at least 30 days' notice by email or in the application. Continued use after the change takes effect means you accept the revised Terms.

16. Governing law

These Terms are governed by the laws applicable at the place of business of AI Next Dev, without regard to conflict-of-law rules. Disputes will be resolved in the competent courts of that jurisdiction, unless mandatory consumer protection law gives you the right to bring a claim elsewhere.
